Terms of Service

1. Introduction
These Terms of Service govern your access to and use of QuoteKit, including quote-kit.net, related checkout pages, and software downloads. By accessing or using the service, you confirm that you have read, understood, and agreed to these terms. If you do not agree, you must not use the service. These terms are designed to clarify rights, responsibilities, and legal limitations between you and QuoteKit. Where additional policies apply, including our Privacy Policy, those policies are incorporated by reference and form part of this agreement.
2. Eligibility
You may use QuoteKit only if you are legally capable of entering a binding agreement under applicable law. If you use QuoteKit on behalf of a business entity, you represent that you have authority to bind that entity to these terms. You are responsible for ensuring your use complies with local laws, including tax, accounting, and data requirements relevant to your activities. We reserve the right to suspend or deny access if we reasonably believe eligibility requirements are not met or if use appears unauthorized.
3. Account and Access
You are responsible for maintaining the security of your devices, account-related email access, and any credentials or activation information associated with QuoteKit. You must provide accurate information when purchasing, requesting support, or validating access rights. Any activity that occurs through your authorized access is your responsibility unless caused by our own negligence. If you suspect unauthorized access, misuse, or credential compromise, you must notify us promptly so we can take practical protective steps. We may request verification before restoring or transferring access.
4. Software License
Subject to your compliance with these terms, QuoteKit grants you a limited, non-exclusive, non-transferable, revocable license to install and use the software for your internal business purposes. This license does not grant ownership rights in the software, branding, or underlying code. You may not redistribute, resell, sublicense, reverse engineer, decompile, or attempt to extract source code except where such restrictions are prohibited by law. You may not remove proprietary notices or use QuoteKit to build competing products based on unauthorized copying or derivation.
5. Payments and Pricing
Paid purchases are processed through Stripe or other authorized payment channels. By completing a purchase, you authorize Stripe to process charges under the selected plan and billing terms presented at checkout. We do not store full card details directly on QuoteKit systems. Pricing, features, and packaging may change over time, including promotional offers and plan availability. Any pricing changes apply prospectively and will not retroactively alter completed transactions unless required by law. Taxes, currency conversion, and financial institution fees may apply depending on your location.
6. Refund Policy
You may request a refund within seven (7) days of the original purchase date. Refund requests are reviewed for legitimate dissatisfaction, technical issues, billing confusion, or other reasonable circumstances affecting the expected use of QuoteKit. Approved refunds are generally returned to the original payment method, subject to payment processor timelines. After seven (7) days, all sales are final except where refund rights are required by applicable consumer law. Submitting repeated abuse-based refund claims or fraudulent charge disputes may result in account restrictions or refusal of future service.
7. Intellectual Property
QuoteKit and its licensors retain all right, title, and interest in the software, website content, design assets, trademarks, documentation, and associated intellectual property. Except for the limited license granted under these terms, no rights are transferred to you by implication or otherwise. You may not copy protected content for commercial redistribution or represent QuoteKit materials as your own. If you provide feedback or suggestions, you grant us a non-exclusive right to use that feedback to improve the product without compensation or obligation to implement specific suggestions.
8. Acceptable Use
You agree not to misuse QuoteKit or related systems. Prohibited conduct includes unauthorized access attempts, security testing without permission, malware distribution, data scraping beyond intended use, payment fraud, and attempts to bypass technical controls or licensing checks. You must not use the service for unlawful activities or in ways that interfere with system stability or other users' access. We may investigate suspected abuse and cooperate with lawful enforcement requests where necessary. Violations can result in suspension, termination, legal action, or all of the above.
9. Limitation of Liability
To the maximum extent permitted by law, QuoteKit is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, or data loss arising from or related to use of the service. Our total liability for any claim under these terms is limited to the amount you paid to QuoteKit for the applicable purchase in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
10. Disclaimer
QuoteKit is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, error-free, or suitable for every business scenario. While we aim for reliability and practical accuracy, users remain responsible for reviewing quote, invoice, tax, and payment details before relying on generated documents. We do not provide legal, financial, or tax advice through the software. Any operational decisions made using QuoteKit are your responsibility. Use of the service is at your own risk, subject to applicable consumer protections.
11. Termination
We may suspend or terminate access if you materially breach these terms, engage in prohibited conduct, or use the service in a way that creates legal or security risk. Where appropriate, we may provide notice and an opportunity to remedy non-critical violations before termination. You may stop using QuoteKit at any time. Termination does not affect rights or obligations that by nature should survive, including intellectual property protections, liability limits, dispute obligations, and unpaid charges. We may retain limited records as required for legal or anti-fraud purposes.
12. Privacy
Your use of QuoteKit is also governed by our Privacy Policy, which explains what information we collect, how we use it, and when it may be shared with trusted processors such as Stripe. By using the service, you acknowledge the practices described in that policy. If there is a conflict between these terms and privacy disclosures required by law, mandatory legal requirements prevail. We encourage you to review the Privacy Policy regularly so you understand how operational, billing, and support data is managed.
13. Changes to Terms
We may update these Terms of Service periodically to reflect legal developments, product changes, or operational needs. When updates are published, the effective date will be revised on this page. Material changes may also be communicated through service notices where practical. Continued use of QuoteKit after updated terms are published constitutes acceptance of those revisions, to the extent permitted by law. If you disagree with updated terms, you should discontinue use of the service. We recommend reviewing these terms regularly to remain informed.
14. Governing Law
These terms are governed by the laws of Australia, without regard to conflict of law rules. You agree that any dispute arising out of or relating to these terms or your use of QuoteKit will be subject to the jurisdiction of courts located in Australia, unless mandatory local consumer law provides otherwise. Before formal proceedings, both parties should make reasonable efforts to resolve disputes through good-faith communication. This governing law section does not limit non-waivable rights you may have under applicable consumer protection laws.
